On July 11, 2017, Twitter, Inc. filed a Form 8-K with the U.S. Securities and Exchange Commission. Item 5.02: the board of directors appointed Ned D. Segal as Chief Financial Officer, effective late August 2017. He would take the CFO role from Anthony Noto, then Chief Operating Officer and Chief Financial Officer. Noto would remain COO. The 8-K states there were no arrangements or understandings between Segal and any other persons pursuant to which he was selected, no family relationships with Twitter directors or executive officers, and no Item 404(a) related-party interest.
The same filing gives the public resume Twitter put on the record. Segal, then 43, had been Senior Vice President of Finance at Intuit Inc. since January 2015, most recently leading financial and strategic planning for the Small Business Group. From April 2013 until January 2015 he was Chief Financial Officer of RPX Corporation. From 1996 to April 2013 he held positions at Goldman Sachs and Co., most recently as Managing Director, Head of Global Software Investment Banking from 2009 to 2013. He holds a B.S. from Georgetown University. Annual salary: $500,000. Sign-on bonus: $300,000, with a one-year clawback outside a change of control. The 8-K attaches the July 11, 2017 offer letter and says he would participate in Twitter's Change of Control and Involuntary Termination Protection Policy. If involuntarily terminated other than for cause, death, or disability on or within 12 months after a change of control, the 8-K summarizes a lump-sum equal to 100 percent of annual base salary, up to 12 months of COBRA, and acceleration of 100 percent of unvested equity awards then held. Those are the contract terms as filed. They are not a later payment receipt.
Twitter's July 11, 2017 press release, carried on PR Newswire and listed as Exhibit 99.1, repeats the late-August start and the reporting line to Jack Dorsey. As CFO he would oversee finance, accounting, corporate development, corporate security, financial planning and analysis, investor relations, real estate and workplace, internal audit, tax and treasury. The release quotes Segal: "I've long admired Twitter's impact in the world, and I'm committed to helping the Company build on its recent momentum, allocate resources against its greatest priorities, and continue toward its goal of GAAP profitability and beyond." The 8-K and the press release are titles, dates, and a hire. They are not a finding that he ran Trust and Safety or ordered a user's removal.
